POSlagbe — Registration Terms & Conditions
Effective Date: 04 September 2025
Owner: ShopLagbe (“we”, “us”, “our”) operating the POS software “POSlagbe”.
By clicking “Sign Up/ Create Account”, installing, or using POSlagbe, you agree to these Registration Terms & Conditions (“Terms”). If you do not agree, do not register or use the Service.
1) Eligibility & Business Use

You represent that you are at least 18 years old and have the authority to bind the business you register.

POSlagbe is provided for business/commercial use, not for personal/household purposes.
2) Account Creation & Security
-
You must provide accurate, complete registration information and keep it updated.

You are responsible for all activity under your account, including actions by staff users you invite.
-
Keep credentials confidential and notify us promptly at support@poslagbe.com of any unauthorized use.
3) Plans, Trials & Billing

Monthly/Yearly Plans: Subscriptions are prepaid and renew automatically unless cancelled before the renewal date.

Free Trial (if offered): At trial end, your plan converts to a paid plan unless you cancel. One trial per business.

Prices & Taxes: Fees are shown in BDT (unless stated otherwise) and exclude applicable VAT/Tax, which will be added.

Payment Methods: You authorize us and our payment processors to charge your selected method for recurring fees.
4) Cancellations & Refunds

You may cancel anytime from your billing settings; access continues until the end of the current paid term.

Fees already paid are non-refundable except where required by law or where we explicitly state otherwise in writing.

Downgrades take effect from the next billing cycle.
5) Fair Use & Acceptable Use
You agree not to:

Use the Service for unlawful, fraudulent, deceptive, or harmful activities.

Infringe others’ IP, privacy, or data protection rights.

Bypass security, probe/vulnerability test without consent, or introduce malware.

Resell, lease, or provide the Service to third parties as a service bureau without our written permission.
6) Multi-User Access & Roles

The account owner (Admin) controls roles/permissions and is responsible for staff actions and data entered.

Remove access promptly for departed staff. Changes by Admin are deemed authorized by the business.
7) Features & Service Changes

We may add, modify, or discontinue features (including beta features) with reasonable notice for material changes.

From time to time we may require updates; continued use after updates constitutes acceptance.
8) Data, Privacy & Backups

Your Data: You retain ownership of business data you input. You grant us a limited license to host, process, back up, and display Your Data to provide the Service.

Privacy: Our processing follows the POSlagbe Privacy Policy (link/app page). You agree to that policy.

Backups: We maintain regular cloud backups, but you are responsible for exporting/retaining copies needed for your records or compliance.

Data Export & Deletion: During an active subscription you can export data via available tools. After termination, we may delete or anonymize Your Data within 30–90 days, except where retention is required by law or for legitimate business purposes (e.g., dispute resolution, auditing).
9) Third-Party Services & Integrations

Some features may rely on third-party services (e.g., payments, delivery, messaging). Your use of them is subject to their terms and fees.

We are not responsible for third-party service interruptions or their data practices.
10) Service Availability & Support

We aim for high availability but do not guarantee uninterrupted or error-free operation.

Standard support is available via in-app chat/email during posted hours; higher tiers may include priority support.
11) Intellectual Property

POSlagbe, including software, UX, logos, and documentation, is our or our licensors’ IP. No rights are granted except the limited, revocable, non-transferable license to use the Service during your subscription.

You will not reverse engineer, decompile, or create derivative works of the Service except where permitted by law.
12) Marketing Communications & Brand Reference

By registering, you consent to receive service, billing, and product emails/WhatsApp/SMS. You can opt out of marketing messages (but not essential service messages).

With your consent, we may use your business name/logo as a customer reference; you may withdraw consent at any time.
13) Compliance & Records

You are solely responsible for complying with applicable laws (tax, labor, consumer, invoicing, data protection) and for the accuracy of records generated by your use of the Service.
14) Suspension & Termination

We may suspend or terminate access for breach of these Terms, non-payment, legal risk, or security threats.

You may terminate at any time via settings; these Terms survive to the extent necessary (e.g., limits of liability, indemnity).
15) Warranties & Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, and non-infringement), to the maximum extent permitted by law.
16) Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits/revenue, loss of data, or business interruption.

Our aggregate liability arising out of or related to the Service is limited to the fees paid by you in the 3 months preceding the event giving rise to the claim.
17) Indemnity

You agree to defend, indemnify, and hold harmless ShopLagbe, its affiliates, and personnel from claims, damages, and costs arising from: (a) Your Data or content; (b) your use of the Service in violation of law or these Terms; (c) disputes with your customers, suppliers, or staff.
18) Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., network failures, power outages, natural disasters, war, government actions).

20) Governing Law & Dispute Resolution

These Terms are governed by the laws of Bangladesh.

Courts in Dhaka, Bangladesh shall have exclusive jurisdiction over any disputes, subject to any mandatory arbitration laws that may apply.
21) Entire Agreement & Miscellaneous

These Terms, together with the Privacy Policy and plan-specific terms, form the entire agreement and supersede prior understandings.
-
If any provision is unenforceable, the remainder remains in effect.

You may not assign your rights without our consent; we may assign as part of a merger, acquisition, or reorganization.
